3rd Party Access Authorization

Terms of Agreement
Hereafter, the Client /Designated Representative will be known as the “Client” and YOUR COMPANY will be known as the “Developer.”

Authorization

The above named Client is requesting the Developer to provide full site access to the person(s) named below for the ability for that person(s) to have access to the main Control Panel (cPanel) for the website named above. This release addresses access only, it does not release the Client from any other contracts.

Third Party &/or Client Access

If the Client, or anyone designated by the Client, updates the website and damages the design or impairs the ability for the web pages to display or function properly, time to repair the web page(s) will be assessed at an hourly rate of [YOUR RATE]. There is a one hour minimum. If the repair is considered an emergency by the Client, emergency billing rates will apply.

The Developer releases full liability for the site to the Client in regard to site functionality, and security. Client agrees that it shall defend, indemnify, save and hold the Developer harmless from any and all demands, liabilities, losses, security breaches, costs and claims, including reasonable attorney’s fees associated resulting from work done by a third party on the Client’s Website. The third party shall be held responsible for any & all items noted in this liability section.

The Client should be aware that those authorized below have been given the full admin login & password(s) to the site, FTP,SFTP and cPanel, and the overall security of the site rests in the safe keeping of that information.

Emergency Web Services

If emergency work is needed to repair or restore any part of the web site function, the Developer reserves the right to charge [YOUR EMERGENCY RATE], with a [$$$] minimum.

Authorized Access to Site

The following person(s) will be given 100% access to the server hosting the named websites above once the waiver is signed by the Client and returned to the Developer.
